Field of application
All our sales, whether to professionals or non-professionals, are subject to these general terms and conditions of sale, unless otherwise expressly stipulated in the contract.
Ordering
Once the contract has been concluded, the buyer may not - except in cases of force majeure - refuse to accept delivery and must submit any claims as indicated below. The sums paid by the customer constitute a deposit, i.e. an advance on the agreed price (non-refundable in the event of cancellation of the sale). The seller undertakes to supply wines in accordance with the contractual stipulations.
Prices
The applicable prices are those shown on the price list, inclusive of tax. They are ex-farm and transport is at the buyer's expense, unless otherwise stipulated in the contract. Payment must be made in cash no later than the date of delivery unless otherwise agreed. A deposit may be requested. Any payment made after the due date shown on the invoice will incur late payment penalties. The amount of these penalties will be equal to three times the legal interest rate. These penalties will be due without formal notice and collection costs of a fixed minimum of €40 will be payable by the buyer. Failure on the part of the purchaser to fulfil its obligations may, after complaint by the seller, result in termination of the contract in favour of the seller without payment of damages.
Breakdown
In the event that the supplier cannot satisfy all requests for the same campaign or vintage, distribution will be based on available stocks.
Delivery
In the event of force majeure (fire, natural disaster, strike, administrative decision, riots, etc.) the seller shall be obliged to inform the buyer by any means. The contract will be suspended for the duration of the force majeure. It will then be re-executed under the same conditions. Force majeure in no way exempts payment for goods already delivered.
Force majeure
En cas de force majeure (incendie, catastrophe naturelle, grève, décision administrative, émeutes…) le vendeur sera tenu d’en informer l’acheteur par tout moyen. Le contrat est suspendu durant la durée de la force majeure. Il sera ré-exécuté ensuite dans les mêmes conditions. La force majeure ne dispense en aucun cas le paiement des marchandises déjà livrées.
Retention of title clause
Le transfert de propriété du vin est subordonné au complet paiement du prix à l’échéance convenue. Toutefois, les risques seront transférés dès la livraison. En cas de défaut de paiement à l’échéance, le vendeur reprendra possession de la marchandise dont il est resté propriétaire sans aucune formalité préalable et pourra à son gré résoudre le contrat par simple lettre recommandée avec accusé de réception. L’acheteur ne peut en aucun cas donner les marchandises non encore intégralement payées, en gage, ni en transférer la propriété à titre de garantie. En cas d’assemblage des vins, le vendeur restera propriétaire à l’équivalent de la marchandise.
Jurisdiction clause
Any dispute relating to the sale will fall within the exclusive jurisdiction of the Tribunal de Commerce of the seller's place of residence in the case of a sale to a professional, or of the Tribunal Grande Instance of the seller's place of residence, including summary proceedings. French law applies to all our sales.
Applicable law and jurisdiction
These general terms and conditions of sale are governed by French law. Should any clause of these general terms and conditions of sale be null and void, this shall in no way affect the validity of and compliance with these general terms and conditions of sale. In the event of a dispute arising from or in connection with the placing or execution of an order, the competent French court will be designated in accordance with the rules of common law.
Protection of minors
In accordance with article L. 3342-1 of the French Public Health Code, the sale of alcoholic beverages to minors is prohibited. The Customer declares and undertakes to be at least 18 years of age on the date of the order.
